Buying a vehicle, new or used? You are negotiating one of the largest purchases of your life. The problem is simple: The dealership does this every day. You don’t. Every salesperson, sales manager, finance manager, and dealership executive involved in your transaction is a trained professional operating within a system designed to maximize dealership profitability. At your expense. Who is representing you? At Private Automotive Acquisition, I work exclusively for the buyer. After 28 years inside the automotive industry, including executive leadership and dealership operations, I know exactly how vehicle transactions are structured, where profit is hidden, how fees are packaged, and where consumers lose leverage without even realizing it. Now I sit on the other side of the table. For you. For a simple flat fee, I manage the entire vehicle acquisition process from needs to search to signed contract. Services include: • Vehicle Selection • Market Analysis • Dealer Negotiation • Trade-In Strategy • Financing Review • Contract Review • Consumer Protection My goal is simple. Help you avoid: • Overpaying • Bad Vehicles • Junk Fees • Trade-In Mistakes • Financing Traps • Dealership Pressure You should never have to wonder whether you’re getting a fair deal. You should never have to spend hours negotiating. You should never have to walk into a dealership alone hoping everything works out. Whether you’re purchasing a new vehicle, a used vehicle, or managing a trade-in, I provide the strategy, leverage, and representation necessary to protect your interests throughout the transaction. The individual salesperson is being deprofessionalized at the same time the dealership institution is becoming more professionalized, automated, data-driven, and economically sophisticated. That is one of the most important changes happening in automotive retail. The traditional career salesperson is increasingly being replaced by product specialists, delivery coordinators, sales ambassadors, salaried representatives, and standardized processes. But the dealership itself is not becoming less sophisticated. Quite the opposite. Behind that simplified customer-facing experience are pricing algorithms, CRM systems, inventory-management platforms, real-time market data, centralized acquisition tools, lender networks, F&I technology, desking systems, and increasingly sophisticated profitability models. The salesperson may know less. The dealership knows more. Inventory velocity is part of that equation. Dealers can deliberately compress front-end margins, shorten days on lot, turn inventory faster, and redeploy capital repeatedly. That may produce an attractive advertised price. But profit does not disappear. It moves. Trade acquisition matters more. Financing matters more. F&I matters more. Service, parts, retention, and the total customer relationship matter more. The buyer is no longer simply negotiating with a salesperson. The buyer is interacting with a streamlined front end connected to an increasingly sophisticated institutional machine. A sophisticated engine designed to operate against you, not for you. And the buyer still walks in alone. Technology has made vehicle information easier to access. It has not made the transaction easier to understand. A consumer can know the advertised price and still lose money on the trade. Receive an attractive payment and still accept an expensive loan. Receive a discount and give it back somewhere else in the transaction. The salesperson is being deprofessionalized. The dealership is not. That is exactly why professional buyer representation is becoming more important, not less. The dealership has trained professional representation. Who’s representing you? Private Automotive Acquisition We work for you. Not the dealership. We negotiate. You drive. Whether you’re purchasing a new vehicle, a used vehicle, or managing a trade-in, I provide the strategy, leverage, and representation necessary to protect your interests throughout the transaction. Stop walking into dealerships at a disadvantage. Work with a professional buyer's advocate who handles needs assessment, sourcing, market research and analysis, negotiation, financial auditing, and contract review for you. PAA performs client needs assessment, vehicle sourcing, market analysis, competitive pricing review, vehicle valuation, CARFAX and ownership-history review, arrange pre-purchase inspections, equipment verification, trade strategy, financing analysis, rate benchmarking, negotiation, offer preparation, contract review, finance-office evaluation, fee audit, delivery inspection, documentation review, risk management, and client advocacy. Most buyers only see the final vehicle and final payment. PAA manages the work that happens before those figures exist. We don't just deliver you a car, we deliver you an experience. We negotiate. WHAT HAPPENS BEFORE A PAA CLIENT BUYS THE CAR Inside a real buyer-side vehicle acquisition, from discovery and market research to VIN diligence, seller underwriting and final transaction control Before a serious seller conversation began, PAA worked through client discovery, behavioral interpretation, platform comparison, market census, geographic sourcing, VIN-level research, history review, ownership chronology, modification-risk analysis, seller selection, valuation, financing posture and transaction sequencing. This is how buyer representation becomes more valuable over time. The consumer sees an attractive listing. PAA sees the vehicle, the history, the market, the seller, the transaction architecture, the information sequence, the financing exposure and the alternatives. The objective is not to make buying a car more complicated. It is to make the decision more defensible before tens of thousands of dollars change hands. Buying the car is the visible part of the transaction. The research, underwriting, negotiation, financing analysis, seller evaluation and document control that determine whether it is a good acquisition usually happen before the keys ever change hands. Aggressive buyer representation does not mean manufacturing a discount where the market does not support one. It means maximizing the client’s economic position across the entire transaction. Considering a vehicle purchase? Start with a free consultation. PAA will help determine whether professional buyer-side representation makes sense for your acquisition. WHY DEALERSHIP INTERNET DEPARTMENTS BREAK DOWN WITH PROFESSIONAL BUYER REPRESENTATION They still want to sell the car. The problem is that their lead system is designed to create appointments, not execute disciplined written transactions. Modern dealerships have invested heavily in internet sales departments, business development centers, CRM systems, chat tools, automated responses, lead-routing software, appointment-setting teams and digital retail platforms. On paper, all of that should make buying a car remotely easier than ever. In practice, however, a strange thing happens when a purchase-ready buyer approaches the dealership through a professional buyer-side representative. The system often breaks down. Not because the buyer is unqualified. Not because the automobile is unavailable. Not because the dealership does not want to sell cars. The problem is more structural than that. The BDC can become an institutional gatekeeper between a purchase-ready buyer and the person actually authorized to sell the automobile. Full article here: facebook.com/share/p/1HmyhdG…

THE 5-HOUR CAR DEAL Why I Used My Own Company to Buy a Car, and Why You Should Too By Frank J. Ranelli Founder & CEO, Private Automotive Acquisition Group I have spent 28 years inside the automotive industry. I built Private Automotive Acquisition (PAA) from the ground up to solve a single, massive problem: the structural information asymmetry that dealerships use to extract thousands of dollars from unsuspecting buyers. My firm doesn’t play retail broker games. We don’t simply “find cars,” and we don’t build our business around hokey internet videos. We use institutional market analysis, documented negotiation frameworks, transaction economics, and strict sequential transaction control to protect the consumer’s side of the ledger. Recently, however, I found myself in a highly unusual position: I became a client of my own company. I needed to purchase a replacement vehicle while simultaneously managing the disposition of my trade, an exceptionally clean, ultra-low-mileage 2023 Chevrolet Blazer 2LT AWD. Rather than treating my own purchase casually because I had spent nearly three decades in the business, I did the opposite. I treated the transaction as a formal PAA engagement and deployed the same analytical frameworks, software, valuation methodology, financing benchmarks, and negotiation structure that I use for my clients. Think about the advantages I brought into that dealership. I had 28 years of inside automotive retail experience and understood the accounting mechanisms, dealership economics, sales process, F&I structure, inventory considerations, trade valuation, and negotiation methodology from the inside. I had an MBA-level understanding of the financial transaction. My financing was independently benchmarked. My payoff was finalized. I understood Ohio’s net-trade sales-tax treatment. I had multiple written acquisition offers establishing external market value for my Blazer. I had researched the replacement vehicle and understood the numbers before anyone at the dealership ever put a worksheet in front of me. Most importantly, I was perfectly willing to walk away. I had virtually every structural advantage PAA attempts to give a client: experience, independent financing, external trade bids, market valuation data, knowledge of tax treatment, knowledge of dealership accounting, the ability to separate every component of the transaction, and absolutely no fear of negotiating with a dealership. And it still took five hours. That is the part consumers need to understand. If a professional with 28 years inside the automotive industry, armed with independent financing, competing written trade offers, market data, tax calculations, dealership accounting knowledge, and the ability to walk away still has to spend five hours grinding through a transaction to protect the economics of his own deal, what chance does the average consumer have walking into the same environment alone? And perhaps the better question is: Why should you have to? THE REALITY OF THE SHOWROOM GRIND The central battle became my trade-in. The dealership’s first offer for the Blazer was $24,500. My data showed something very different. Multiple independent valuation points converged tightly in the mid-$26,000 range. That wasn’t a feeling, and it wasn’t something I found in a random online pricing guide. It was documented market evidence backed by actual acquisition offers. When the numbers became increasingly difficult to argue against, the framing changed. Ohio’s net-trade sales-tax treatment entered the discussion as though the resulting tax savings somehow constituted additional dealership consideration. It did not. That tax treatment exists by statute. It was a consequence of the transaction structure, not money the dealership was contributing to my trade value. NOW IMAGINE YOU WALKED IN INSTEAD OF ME You might do this once every five years. They do it for a living. 👉 Read the full article on our blog: privateautoacquisition.com/b…

Inside the Dealership Machine: Anatomy of a Real-World Deal Most buyers think they are negotiating a car. In reality, they are entering a highly coordinated institutional sales environment where every professional represents the dealership’s financial interests. I recently handled an in-person transaction for a PAA client under exceptional circumstances. Before walking in, the vehicle had been analyzed, the trade independently valued, competing written offers documented, financing benchmarked, payoff verified, tax treatment calculated, and the transaction structure already built. Even with that level of preparation, it became a five-hour grind. The trade was an exceptionally clean 2023 Chevrolet Blazer 2LT AWD with about 8,300 miles. Independent acquisition data supported the mid-$26,000 range. The dealership opened at $24,500. Then came the familiar theater: • “Tax savings” used to defend the trade number • Claims that Blazers were difficult to sell • Carrying-cost concerns • Supposed wholesale risk • The idea that the dealership might lose money None of that establishes market value. The tax treatment is statutory. The dealership does not create it. The dealership’s carrying costs, payroll, floorplan, inventory risk, and gross objectives are not the buyer’s responsibility. The final trade allowance became $26,500. The dealership then performed minimal preparation, CarBravo certified the Blazer, advertised it at $28,600, and turned it in about 21 days. That tells the real story. The dealership also had multiple revenue opportunities across the same transaction: • New-car economics • Used-car front-end gross • Lender flat on the financing • F&I products • Future service and accessories Dealership profit is not the problem. Dealerships should make money. The problem is when blended numbers, emotional theater, and information asymmetry are used to make a fair transaction look unreasonable. That is why every component should be separated and evaluated independently: • Selling price • Trade allowance • Tax treatment • Financing • Fees • F&I products • Payoff • Final amount financed The dealership has trained professionals representing its interests at every stage. Who is representing yours? Private Automotive Acquisition Group provides professional buyer-side representation throughout the transaction. I represent the buyer. I protect the buyer. NEVER FALL IN LOVE WITH THE VEHICLE FIRST. That sounds like strange advice from someone who helps people buy vehicles. It isn’t. One of the most consequential mistakes buyers make happens before negotiations even begin. They find a vehicle. They like the color. They sit in it. They drive it. They start imagining it in their driveway. And without realizing it, they stop shopping the market and start shopping that specific vehicle. That’s when the transaction changes. Once you’re emotionally attached: • Your negotiating position weakens. • Trade-in mistakes become easier to overlook. • A conversation about total cost can become a conversation about monthly payment. • Better vehicles and better market opportunities get ignored. • Fees, financing, warranties and contract terms become secondary to one objective: “How do I get this car?” That’s precisely backward. Before falling in love with a vehicle, you should understand the entire transaction surrounding it. Because you’re not simply buying a vehicle. YOU’RE BUYING A TRANSACTION. That transaction can include: • The vehicle itself • Current market value • Comparable vehicles and alternatives • Trade-in value • Dealer pricing • Fees and add-ons • Financing and lender terms • Warranty and protection products • Contract terms • Timing and market conditions The better question isn’t: “Do I love this vehicle?” It’s: “Is this the right vehicle, at the right price, with the right trade value, financing and contract terms compared with everything else available to me?” Those are very different questions. This is why my acquisition process begins before my client becomes committed to a particular vehicle. I research the market, source vehicles, analyze pricing, evaluate the trade, review financing, negotiate with the dealership, examine the paperwork and help manage the transaction through final contract execution and delivery. The objective is not simply to help you buy a car. It’s to help you make the right acquisition decision before emotion takes control of the transaction. THINKING ABOUT BUYING A VEHICLE? Trade-In Tax Savings Are Not Dealer Trade Value: How to Keep the Numbers Separate Vehicle transactions become difficult to evaluate when unrelated financial components are blended together. One of the clearest examples occurs when a dealership attempts to characterize a statutory sales-tax benefit as additional value being provided for a customer’s trade. 👉 It is not. Repeat. It is not. It’s a statutory tax calculation (in most states) not a concession from the dealership, or a reason to undervalue the trade allocation. A vehicle transaction contains several distinct financial components, including the selling price of the vehicle being purchased, the market value of the trade, taxes, fees, financing, and optional products. Each should be evaluated independently. The Federal Trade Commission recommends obtaining the out-the-door price before introducing the trade-in so consumers can evaluate the purchase price and trade separately and compare competing offers on an apples-to-apples basis. A trade-in is an asset. Its value is determined by the market (“market comps”) based on factors such as year, make, model, equipment, mileage, condition, history, geographic demand, wholesale values, and current retail conditions. 👉 That market value does not change because a state legislature chooses one method rather than another to calculate sales tax. Many states provide favorable tax treatment when a qualifying vehicle is traded as part of a purchase. Depending on the jurisdiction and transaction, the trade allowance may reduce the amount subject to sales tax. That treatment exists because of statutory law. It is NOT money contributed by the dealership, it is not an additional trade allowance, and it is not a dealer concession. FULL STOP. 🛑 *** The distinction matters because a dealership can attempt to convert a statutory tax effect into apparent dealer-provided value. In doing so, the dealer is attempting to take attribution for value it neither created nor funded. *** If independent market data establishes a trade value of approximately $27,000 and a dealership offers $24,500, that dealership has offered $24,500. If applicable state law then reduces the customer’s sales-tax liability by approximately $2,500, the dealer has not increased its trade allowance to $27,000. The tax calculation simply changes the amount of tax legally due. That’s it. Nothing more. Do not allow the sales manager to claim a credit or benefit or a concession, or reduce the value of your trade in vehicle, using the “tax deception method” the dealership neither creates nor provides—it’s just how the state, not the dealership (or the new car itself for that matter), calculates state sales taxes. Tax treatment is not trade allowance. Statutory tax savings are not dealer-provided value. The applicable tax treatment is established by law, not by the selling dealership. A dealership should not add statutory tax savings back to its appraisal, use them to justify a below-market trade allowance, or characterize them as additional consideration, incremental trade value, or a concession provided by the dealership. This issue arose recently in a vehicle acquisition involving PAA itself. Multiple independent market appraisals established a trade value approximately $2,500 above one dealership’s initial offer. During negotiations, the dealership attempted to characterize the statutory trade-in tax treatment as additional value attributable to its offer, effectively presenting its lower appraisal as equivalent to competing market offers once the tax effect was included. This is false, deceptive and misleading, and is an attempt to undermine market value of your trade in vehicle. Don’t fall for it! “The dealership receives no credit for a benefit created by state tax law.” A tax benefit created by statute cannot be converted into a dealer concession, additional trade allowance reduction, or other form of dealer-provided value.

Rules to live by when buying a car: 👇👇👇 1. Never fall in love with the vehicle first. (Emotion creates leverage for the seller.) 2. Never pass on a good deal today chasing the perfect deal tomorrow but never force a transaction when patience produces a demonstrably superior outcome. (Discipline decides when to act and when to hold.) 3. Always be willing to walk away. There is always another car. Automobiles are depreciating assets and commodities, and they should be evaluated accordingly. Follow me for more tips and advice!

NEVER FALL IN LOVE WITH THE VEHICLE FIRST. Most buyers don’t lose money because they’re unintelligent, far from it. They lose because they fall in love with a vehicle before they understand the market or transaction. Emotional Attachment Theory. It’s real. And costly. WHAT HAPPENS NEXT? The moment you become emotionally attached to a vehicle: ✓ Your negotiating position weakens ✓ Trade-in mistakes become harder to spot ✓ Payment-focused selling becomes more effective ✓ Better market opportunities are often ignored ✓ You stop comparing vehicles and start defending one ⸻ THE REAL QUESTION Don’t ask: “Do I love this vehicle?” Ask: “Is this the best vehicle, at the best price, with the best terms available in today’s market?” Those are not the same question. BEFORE YOU HIRE ANY CAR BUYING SERVICE… Ask These Questions. ☑ Are you paid only by me, or do you also receive compensation from dealerships? ☑ Do you accept referral fees or lead-generation commissions? ☑ How many years did you actually work inside the automotive industry? ☑ What positions did you hold? Salesperson… or dealership management? ☑ Do you perform independent market research before recommending a vehicle? ☑ Will you provide a written acquisition strategy before negotiations begin? ☑ Do you negotiate only the selling price… or the entire transaction? ☑ Will you independently verify financing terms and interest rates? ☑ Will you review Finance & Insurance products one by one and tell me when a product is actually worth buying? ☑ Will you audit my contract before I sign it? ☑ Will you inspect the vehicle before delivery and verify promised equipment, keys, and condition? ☑ If something goes wrong, who represents me… the dealership or you? Those are exactly the questions I encourage every prospective client to ask me. Because informed consumers make better decisions. Frank J. Ranelli Private Automotive Acquisition “We negotiate.
