Big News from Clemta! 🚨
You can now open a U.S. business bank account even before getting your EIN.
Yes, you read that right: Pre-EIN banking is here. 🚀
A personal note from our CEO @ilasencan on what this means for global founders.
👇👇👇
Dear Clemta Family,
Thanks to your unwavering support and trust, we’re proud to have helped over 14,000 entrepreneurs from more than 150 countries start and grow their businesses in the United States and beyond. This journey wouldn’t be possible without your belief in us - and we’re working harder every day to deserve your trust.
At Clemta, our mission has always been clear: make life easier for ambitious small business owners like you. Every day, we push boundaries to simplify the path to global entrepreneurship.
Today, we’re thrilled to share a major milestone:
Clemta users can now open a U.S. Mercury bank account even before receiving their EIN.
This means entrepreneurs can kickstart operations and integrate with major marketplaces and financial tools like Amazon and Stripe immediately.
This opportunity is exclusive to Clemta users, and we’re proud to bring this exclusive advantage to our community.
Let’s keep building the future faster, smarter, and together!
Right banking partners for non-US resident founders👇
Non-resident-owned LLCs get rejected by the big three constantly. It's not you, it's the bank.
Chase and Bank of America mostly aren't built to onboard foreign owners. These are:
• @mercury
• @relayfinancial
• @Payoneer
• @Wise
Three documents get you approved almost everywhere: your EIN confirmation letter (CP 575) from the IRS, your incorporation certificate, and a passport plus proof of address for every beneficial owner.
Availability depends on where you live. Each bank keeps a list of countries it won't serve.
Reply "BANK" and We'll send the detailed shortlist.
(If you work with Clemta, you can even open your bank account pre-EIN, which saves you approximately 4–6 weeks 🚀)
Mistake 9/30: Signing in your own name.
Sign as "Name, Member/Manager, Company LLC," not just "Name."
Otherwise the other side can argue you signed personally. The same applies to invoices and website terms.
Mistake 8/30: Delaware "because everyone does."
Often right for a VC-bound C-Corp. For a solo service LLC, another state may fit better.
The state you pick changes your fees, privacy, and paperwork. Choose it on purpose and wisely.
Mistake 7/30: Changing owners with a handshake ⁉️
A transfer requires a signed assignment, an updated operating agreement, and Form 8822-B filed with the IRS within 60 days if the responsible party changes.
4,000 Wise customers filed tax returns with the wrong numbers for four years. Not kidding - for four years...
None of them caught it.
The lesson for every founder: your Wise, Mercury or Stripe export is a summary, not your financials. Before it touches Form 1120, 1040-NR, or a UK corporate tax return:
- Keep the raw CSV, not the summary PDF
- Reconcile it against your own books
- Amend the moment a corrected statement lands
At Clemta, we are proud that every export is reconciled, $2M+ in liability cover, 20,000+ entrepreneurs, zero claims.
Bookmark this for the next tax period.
Wise miscalculated tax for about 4,000 UK investment customers over four years and is seeking a bulk deal with HMRC to settle it.
The FT reports that third-party software used for Wise Assets got capital gains and income figures wrong between 2021 and 2025, so some customers paid too much and others too little.
Wise says the issue is fixed, corrected statements have been sent, and it will cover any shortfall and repay those who overpaid.
Mistake 6/30: Forming an LLC when you want VC money.
Most US venture investors want a Delaware C-Corp. Converting later is possible, but it costs legal fees, time, and sometimes tax.
Decide on your 3-year plan, not today's convenience.
Your US LLC made $0 this year. You may still owe the IRS a filing, and missing it costs $25,000.
We've worked with 21,000+ founders from 170 countries at @clemta. The same LLC mistakes come up every week.
I'll share the top mistakes over the next 30 days👇

Mistake 5/30: "The LLC is tax-free, so I am too."
The IRS looks through your LLC. Your home country likely taxes your worldwide income, and may not look through the LLC at all. Two countries, two rulebooks.

Mistake 3/30: No operating agreement "because it's just me."
Banks and payment processors ask for it, and it's your evidence the LLC is a real, separate business. Single-member LLCs need one too.
Mistake 2/30: Mixing personal and business money.
One account for groceries and client payments is how courts pierce the veil and reach your personal assets.
Separate account from day one, paper trail for every transfer.
Mistake 1/30: assuming $0 revenue means nothing to file.
A foreign-owned single-member LLC files a pro forma Form 1120 + Form 5472 every year, even with zero income. The penalty for missing it is $25,000 per form, per year.
Filed an extension? Your deadline is Oct 15.
After September 15 deadline of multi-member LLCs, I saw it again: founders who filed an extension in March and think they can pay on September 15.
It’s now late for multi-member LLCs.
But for all C-Corps and single-member LLCs, it’s for you:
The extension moved your filing date. Your tax was still due April 15.
Since April 16 the IRS has charged 0.5%/month penalty + 7% interest on whatever you still owe.
The extension only stops the 5%/month late-filing penalty. Nothing else.

Cash basis vs. accrual basis isn’t just an accounting technicality - it can materially change how your financials look and the decisions you make.
I’ve seen founders struggle later simply because they chose the wrong method early.
In this video, I explain the practical differences between cash and accrual-basis accounting, when each makes sense, and how the IRS and investors actually look at them.
If you’re building a U.S. company and want clean financials that scale with you, this is a decision worth getting right from day one👇
