Our Co-founder, @jp_grabs, shared his thoughts with @Yogita_Khatri5 in @TheBlockCo's latest The Funding newsletter, that covers S&P Global's recent acquisitions in the digital assets space From our experience advising on digital asset M&A across regions, we see strategic acquisitions playing an important role in helping traditional companies combine established distribution, licenses, capital, and institutional trust with crypto-native capabilities.

Back from Barcelona after a great few days at @EBlockchainCon 🇪🇸 Notably, almost every European bank and asset manager was present and is now actively exploring, building, or even acquiring across stablecoins, tokenization, and onchain financial markets infrastructure. I joined leaders from @WhiteCase, @generaltensor, and @Stifel for a panel discussion to discuss IPOs and M&A activity in the European digital assets market. Clear consensus that while IPO activity in Europe is lagging significantly behind the US (not only in crypto), the M&A market remains incredibly active, with payments, tokenization, and trading infrastructure among the most active verticals. What has changed since prior years is that major financial institutions have doubled down on the industry through M&A or significant strategic investments, including most recently: - @SPGlobal: acquisition of @OpenZeppelin & investment in @KaikoData - @Mastercard: acquisition of @BVNKFinance - @Nasdaq: investment in @krakenfx

We're excited to share that @TheTieIO has acquired @StakingRewards, the industry's benchmark data platform for staking and digital asset yield, from Finrate AG. Areta acted as the exclusive strategic and financial advisor to Finrate AG. We had the opportunity to work closely with Mirko and the Finrate team throughout the process, supporting one of the most significant data transactions in the digital asset yield space. Founded in 2018, Staking Rewards has grown into the category-defining platform for staking and yield data, serving over one million annual users and leading exchanges, custodians, validators, asset managers, and protocols. With Staking Rewards' datasets integrated into The Tie Terminal and APIs, institutional users will be able to analyze yield intelligence alongside market data, on-chain analytics, and news. We were pleased to support Finrate AG on this transaction and wish both teams the very best for the journey ahead!

What a headline - @citsecurities invested $400 million in @cryptocom , marking the exchange's first institutional fundraising round in more than a decade. For a firm like Citadel Securities, an equity investment is rarely just about financial exposure. It is tied to a broader commercial or strategic objective. Crypto.com has one of the largest retail franchises in crypto, while Citadel specializes in providing liquidity. When you pair that distribution with trading, payments, cards, and prediction markets operating on its own CFTC-regulated derivatives exchange, the strategic rationale becomes pretty clear. Citadel has been building relationships across exchanges, payments, stablecoins, and tokenization infrastructure rather than making isolated bets. They are positioning across the key layers of the future market structure. It's exciting for the entire space to monitor this!

Our APAC Head, @josephgjh shares his thoughts with @TheBlockCo on SBI Holdings' strategy and what it signals for digital assets in Asia. As Joseph explains, SBI is methodically building the full stack: issuance, settlement, market infrastructure, asset management, and distribution across multiple jurisdictions. Combined with Japan's evolving regulatory framework, this positions SBI at the center of the region's institutional digital asset ecosystem. It's a view we've shared for some time: the next phase of digital asset adoption will be driven by institutions that own the infrastructure, not just the assets. We're excited to share our latest APAC Digital Assets Landscape study. Our APAC study looks at where capital and M&A are concentrating across select markets in the region. While each market has its own dynamics, one theme consistently emerged throughout our research. The binding constraint has shifted from technological capabilities and capital to licensed capability. Approvals follow a protracted timeline and are deliberately scarce across most of the region, and that scarcity now sets the price. If you'd like to explore the data in more detail, the full deck includes M&A and fundraising activity, market-by-market analysis, and more. Access it via the link in the comments below.

Spent the week in London at @GoldmanSachs' Digital Assets conference and @RobinhoodApp keynote event. Incredible level of attendance and engagement for a 'bear market'. Every single seat was taken, with CEOs from the largest crypto companies, investment firms and TradFi attending, many of whom came from the US. M&A activity remains strong in the sector - many companies have been approached for M&A for the first time ever this year. At @areta_io, we're seeing continued consolidation and a wave of new entrants, including non-crypto-native firms looking to establish a foothold in digital assets as valuation levels have come down. PS: Tough football week for a German but had a great time with some of our London colleagues watching England advance to the next round!

1/ We’ve been covering payments in digital assets for a while now and have spent time looking at how legacy players adapt as new financial rails emerge. This acquisition lines up closely with what we expected to see. @Mastercard has entered into a definitive agreement to acquire @BVNKFinance for up to $1.8BN, including $300m in contingent payments. The transaction remains subject to regulatory approvals and customary closing conditions, with Mastercard indicating it expects the deal to close before the end of 2026.

Is token restructuring the new meta? Breaking down @AcrossProtocol’s proposed take-private Across Protocol is proposing a shift from a DAO structure to a U.S. C-corp, allowing ACX holders to exchange their tokens for company equity or redeem them for USDC at a premium. The key goal is to institutionalize the setup. On one hand, enterprise partners require enforceable contracts and clear legal counterparties, which a DAO cannot provide. On the other hand, moving to a corporate structure means token holders risk losing their economic position in the protocol unless they are given a path to become shareholders. This situation highlights two key challenges of crypto organizations: (1) Organizational complexity: operations split across Labs, Foundations, and DAOs often create friction for institutional expansion, partnerships, and execution, as Across’s case shows. (2) Dual capital structure: tokens create a parallel economic layer alongside equity, creating tension around ownership, control, and value creation as projects mature. To address this, Across is proposing what we describe in our latest report as a “token take-private”, a route for consolidating fragmented token economics into a single equity structure. We explore this topic in more detail in our recent Token-Equity M&A Playbook. Access the full report here: docs.areta.io/v/token-equity…

1/ How should tokens be treated in an M&A transaction? In 2025, we saw crypto M&A activity surge to record levels, driven by a shift toward a more constructive legislative posture and renewed strategic confidence. We at @areta_io have advised numerous leadership teams on equity and token transactions. While equity deals are typically straightforward, the involvement of tokens adds significant complexity. We’ve put our insights into a concise report covering, follow along 🧵

Our founder @jp_grabs perspective was featured in @block_stories coverage of @bitwise acquiring @ChorusOne and expanded on signals for further staking industry consolidation. JP’s core point is simple: consolidation in staking is structural, not opportunistic. Over the next few years, we expect further consolidation in the staking and infrastructure segments. Even as institutional participation grows and staked ETPs expand the addressable market, growth will concentrate among a smaller group of scaled, trusted operators.
